High Level Summary of these Integration Terms and Conditions:

1. These Integration Terms are a product-specific add-on that only applies if you use the Integration Services; they supplement your T&Cs with us.

2. By agreeing to these Integration Terms, you are giving us the right to share data connected to your use of the Services with other Crystal Clean customers. We won’t share your data with other retailers that are reasonably considered to be conducting business in the same industry as you (e.g. your competitors).

3. There are no added costs for using the Integration Services.

These Integration Terms and Conditions (these “Integration Terms”) are product-specific terms that form part of the Crystal Clean Terms of Use, your Master Services Agreement, your Brand Subscription Agreement, the Crystal Clean Terms and Conditions, the Crystal Clean Service Agreement, or any other written agreement between you and the Company (as applicable to you, and hereinafter referred to as your “Existing Agreement”); these Integration Terms are hereby incorporated therein and set forth your rights and responsibilities when you use the Integration Services (as defined below) offered to you by Crystal Clean Auto Detailing, LLC. and its Affiliates (as defined below) worldwide (“Crystal Clean Auto Detailing, LLC”, “Company”, “we”, “us”, or “our”). Any new features, functions, or tools added to the Integration Services will also be governed by these Integration Terms.

In the event of any conflict or inconsistency between these Integration Terms and any other written agreement between you and Crystal Clean, the terms and conditions set forth in these Integration Terms shall prevail. Any capitalized term used in these Integration Terms but not otherwise defined shall have the meaning ascribed to it in your Existing Agreement.

“Affiliate” means any entity that (i) directly or indirectly is Controlled by or Controls such party; or (ii) is under common Control with such party. “Control” means the direct or indirect ownership of more than 50% of the shares or interests entitled to vote for the directors thereof or the equivalent, for so long as such entitlement subsists or equivalent power over management thereof.

For the purposes of these Integration Terms, the “Integration Services” mean the services provided by us that enable you to (i) link your R-Series and Crystal Clean platform accounts, and (ii) export product data and purchase orders directly from your Crystal Clean platform account into your R-Series point-of-sale system.

1. Application of these Integration Terms. These Integration Terms apply to you if you use the Integration Services offered by the Company.

2. Integration Service. Once you have accepted these Integration Terms, the Integration Services offered to you hereunder shall be deemed to be a part of the Crystal Clean Services or Services as defined in your Existing Agreement.
   For the avoidance of doubt, all of the rights, responsibilities, obligations, and representations and warranties set forth in your Existing Agreement pertaining to the Crystal Clean Services or Services shall also apply to the Integration Services offered to you hereunder.

3. Term. These Integration Terms shall continue to apply to you until (i) you stop using the Integration Services offered by the Company; and (ii) you disconnect your R-Series account from your Crystal Clean platform account by clicking the “unsync” button in your R-Series menu.
   Termination of these Integration Terms shall not affect your or the Company’s rights and responsibilities under any other Existing Agreement. For the avoidance of doubt, upon termination of these Integration Terms, Company will no longer collect, store, use or distribute your Customer Data to other Crystal Clean customers, except as permitted under your Existing Agreement with Company.

4. “Customer Data” means any data, information or information contained in any database, template or other similar document submitted by you or any of your Affiliates (i) through the Services offered to you by the Company, or (ii) to the Company in connection with your use of the Services or any other services offered by the Company to you.

   1. You are solely responsible for all Customer Data and will not provide, post or transmit any Customer Data or any other information, data or material that infringes or violates any intellectual property rights, publicity / privacy rights, laws or regulations.

   2. You acknowledge and hereby agree that Crystal Clean may collect, store, use and distribute Customer Data to other Crystal Clean customers and users in both identifiable and aggregate form; provided that, Crystal Clean hereby represents and warrants that it will not share your Customer Data with other retailers that would reasonably be deemed to be conducting business in the same industry as you (i.e., a direct competitor to your business).

   3. Crystal Clean will maintain and enforce reasonable safety and physical procedures with respect to its access to and maintenance of Customer Data that are at least equal to industry standards.

5. No Added Fees for Integration Services. There is no additional cost for using the Integration Services pursuant to these Integration Terms.
